For good and valuable consideration, by voluntarily uploading and submitting video or other related content (hereafter “Material”), you (hereafter the “undersigned”) hereby grant CAMP DOUGH PRODUCTIONS, including its parents, affiliates, subsidiaries, licensees, and assigns (collectively, “Producer”) permission to use the material(s) described below (the “Material”) in and in connection with the production of a documentary film potentially entitled “PIEOWA” (hereinafter the “Program”), as well as any other program, or otherwise in connection with Producer’s related projects  and/or those of a network or entity which has lawfully obtained Producer’s rights herein, and in connection with advertisements, promotions, publicity, and other material relating to the Program, other programs, or Producer and/or an assigned network. Producer shall have the right to use the Material, in any manner, including, among others, reproducing, modifying, adapting, translating, sub-licensing, and creating derivative works from it as well as incorporating it into any form, or technology in all media now known or hereafter developed throughout the universe in perpetuity.  The undersigned acknowledges and accepts that it is uploading and/or providing the Material described hereinbelow at its own risk and Producer makes no warranties related to the systems it uses for such transmissions of material.  

The undersigned represents and warrants: (i) that it has the full right and authority, either as owner or as agent of the owner, to grant such permission to Producer in this agreement, (ii) that the Material is free and clear of any liens or other third party claims, (iii) that such use as authorized herein will not give rise to any claims of infringement, invasion of privacy or publicity, claims for payment of any monies such as re-use fees or residuals, any or other claims, and (iv) that no other third party permissions or licenses are required with such use. 

The undersigned agrees to indemnify, defend and hold Producer, its licensees and assigns harmless from and against any claims, damages or expenses (including reasonable costs and attorney’s fees) arising out of a breach or alleged breach of the representations or warranties provided herein. 

Because of editing and other factors, the undersigned acknowledges that Producer has

no obligation to use such Material in the Program, and that it may use such Material in its sole discretion in any manner Producer decides.  

In no event shall the undersigned have the right to enjoin the development, production, distribution, or exploitation of the Program. The undersigned acknowledges that the Program may be exhibited on network or cable broadcast television, Internet, or other media now known or hereafter devised.

Producer may transfer and assign this agreement or all or any of its rights or privileges hereunder to any entity or individual without restriction. This Agreement shall be binding on all of the undersigned’s successors-in-interest and heirs. 

In the event of any dispute, claim, or controversy concerning the performance or enforceability of this agreement and/or concerning the respective rights of the parties hereto, such dispute shall be resolved by a court of competent jurisdiction in Iowa.

Iowa law shall govern the entire relationship between the parties. 

In no way limiting the effect of the foregoing, any action, proceeding, or litigation concerning this agreement or any portion thereof or the participation in the Program may only be brought in

Iowa and the undersigned hereby agrees to the jurisdiction or venue of a competent court located

In Iowa and waives any objections thereto. 

This agreement expresses the entire understanding between the parties with respect to the subject matter hereof and may not be changed, modified, or terminated except in writing. 

The undersigned hereby agrees to keep strictly confidential and not to disclose, or cause to be disclosed, to any third party any information which may be confidential/trade secret information regarding Producer or the Program
